1. Loyalty Program

These Terms and Conditions (hereinafter referred to as the "Terms") regulate the participation and use of the Loyalty Program ("Program") offered by Happy shpk, with its registered office at Rruga Reshit Collaku, Pallati i Shallvareve, cadastral zone 8380, Property Number 7/135+6 – 84, Volume 9, page 16, Tirana, Albania, company registration number M02219018E, email: loyalty@happy.al.

The Happy Loyalty Program is designed to reward loyal customers of companies that apply this loyalty program during their activities based on their purchases and special offers for members. Using the Program implies acceptance and agreement with these Terms.

Members of the loyalty scheme will enjoy unique benefits such as:

  • Points collected from each purchase in participating company stores (physical/online);
  • Personalized offers that help members earn more points based on purchases or individual characteristics (performance);
  • Extra points (birthday, new registration, promotion, etc.).

For the implementation and execution of this Program, the collection of customers' personal data is required, and customers provide their consent at the time of declaration. Happy shpk, in implementing the Happy Loyalty Program, maintains and processes members' data confidentially, respects privacy, and undertakes all necessary technical and organizational measures.

2. Definitions

Program: The loyalty service offered by the Company, through which users earn and use loyalty points.

Loyalty Points: Points earned by customers for their transactions, which can be used for various benefits.

User: The person who registers and participates in the Program.

Account: The User's personal account on the Company's platform.

Coupon: An electronic document with a monetary value that the user can use to obtain discounts or financial benefits within the Happy Program. The coupon value is deducted from the total purchase, and its use is limited according to the terms and validity period specified by the Happy Program.

3. General Terms and Conditions

  • Each membership card is and remains the property of the Happy loyalty program and cannot be used for any purpose outside the loyalty program.
  • The membership card is strictly personal and non-transferable.
  • The membership card is not a credit or debit card. The member cannot make cash transactions but can only enjoy the privileges previously defined by the program.
  • The Company reserves the right to unilaterally modify the reward system. In such cases, the company must notify all members via an announcement on the website www.happy.al.
  • The membership card and earned privileges are valid only within the Republic of Albania and the network of participating companies in Albanian territory. If updates occur, the company must notify all members through the announcement on www.happy.al.
  • Happy shpk reserves the right to monitor how the Client uses the Services and retains the right to refuse to execute any Service if information violating these terms is discovered.
  • If the Client suspects that their authentication account may have been accessed unauthorizedly by a third party, or their account has been used without their consent or knowledge, the Client is obliged, without unnecessary delay, upon becoming aware of such a situation, to notify Customer Service and, independently via the Happy Loyalty Application or, if not possible, with the help of Customer Service, to change the compromised authentication data and/or block or close the Account.
  • The Privacy Notice and the Terms and Conditions of the Program will be available in the Happy Loyalty Application at all times, unless otherwise specified there.

3.1 Changes to Terms

Happy shpk reserves the right to change or modify these Terms of Use or any policy, FAQ, offer, promotion, benefit, or guideline related to the Happy Loyalty program, in whole or in part, at any time and at its sole discretion. Any change or modification takes effect immediately and may be published on www.happy.al, so we recommend you check it from time to time. You waive any right you may have to receive a separate notice of such changes or modifications, and your continued access or participation in the Happy program after any change or modification constitutes your acceptance. If you do not agree with these Terms of Use, you must stop accessing and participating in the Happy program.

4. Registration in the Program/Membership

Users must be at least 16 years old, and registration requires providing accurate and truthful personal data. Happy reserves the right to refuse or cancel registration in case of suspicion of fraud or violation of these Terms.

The membership process in the Happy loyalty program can be completed in two ways:

4.1 In Physical Stores

  • A new member can visit any store of the participating companies to join the scheme.
  • To register in the program, every new member must have a mobile phone number.
  • The member provides the verification code sent via SMS to their contact number to the cashier service, giving their consent for the collection and processing of personal data.
  • After confirming the verification code, the new member completes the application form via a link sent in a second SMS.

4.2 By downloading the Happy application or visiting the official Loyalty Program website www.happy.al

  • Every new member will have an electronic card, which they can use via their contact number or the Happy app.
  • The new member must create their individual profile using their mobile phone.
  • Then they will receive a verification code and proceed to enter their personal information.
  • To complete registration as a new member, the user must accept the terms and conditions, which also include giving consent for the collection and processing of the provided personal data.

When you register in the system, a profile is created for the client. The profile is personal, and only its owner—the client—has the right to use it.

The client should have only one profile. If the client has provided inaccurate data, they must correct it, and if multiple accounts have been created due to inaccurate data, the client must notify Happy so that the created accounts can be merged into a single account. A client who does not meet the requirements of this clause may be blocked by Happy.

5. Earning Points

Rewards available through the Happy program are based on the number of points you earn. Points are earned for every valid transaction according to the rate determined by Happy depending on the strategic partner:

  • For every 100 Lek spent at Neptun, you earn 2.5 points.
  • For every 100 Lek spent at SPAR, Jumbo, Fashion Group Albania, Max Optika, My Optika, Perfect Fashion, Foodini, you earn 5 points.
  • The transaction value must be over 100 Lek.

Points are valid only for transactions made through the Company's authorized channels. You can earn points in the Happy program in the following ways:

5.1 Earning Points through Program Partners

Customers can earn points through purchases made with the Happy Card at our strategic business partners. Happy and its partners reserve the right to review and investigate any activity with the Happy Card, as well as to suspend accounts or remove points and any other promotional benefits due to suspicion of misuse, violation of terms, or fraud.

5.2 Promotional Offers

From time to time, Happy or our Program partners may offer you opportunities to earn additional "Bonus Points" through special promotions. These Bonus Points will be awarded as described in the respective promotional offer and will be subject to any additional conditions specified in that offer. Promotions may change and may be modified, suspended, or ended at any time without notice. Offers are void if prohibited by law.

5.3 Bonus Point

As a member of the Happy Program, you may be entitled to the following additional benefits:

Registration Bonus: When you become a member of the Happy program, you will receive 50 bonus points if you activate your account in a physical store or 80 bonus points if you activate your account via the app or the website www.happy.al. These points will be added automatically to your account.

Birthday Reward: On your birthday (as recorded in your Happy account), you will receive 50 additional points automatically added to your account.

Refer a Friend and Earn: Encourage your friend to benefit from the Happy Loyalty Program by sharing your referral code. Once your friends become Happy members using your referral code and make their first transaction with the Happy Card, both of you will automatically receive 200 points each in your Happy Loyalty accounts.

Happy Surprise: Try your luck every day by spinning the Happy Surprise wheel and you may earn extra points in your account or coupons to use with Happy partners.

My Steps: Upon reaching the target of 50,000 steps per month, earn 100 extra points automatically added to your account. To benefit from this, you must allow the Happy app to access your step counting app depending on your operating system.

App Surveys: Complete various surveys published in the App and earn 100 extra points automatically added to your account.

6. Use of Points for Rewards

  • Points can only be used for benefits specified on the platform. The Happy program offers various rewards based on different levels of points usage. Rewards and the levels of points required for usage may vary depending on the participating companies.
  • If a Happy member makes a purchase with a receipt amount higher than the value of the coupon, the member must pay the difference between the receipt amount and the coupon value.
  • The coupon cannot be used on a receipt with a lower value than the coupon itself.
  • At each reward level, a set of coupons is distributed according to the participating companies in the program, and their usage is mandatory according to the company they belong to.
  • You cannot redeem multiple coupons in a single order; the condition is one coupon per receipt.
  • Coupons cannot be transferred and cannot be exchanged for cash.
  • Coupons have a validity period of 60 days from the moment of activation.

7. Points Refunds

Regarding how Happy handles points refunds, your points balance may be affected by situations such as the following:

  • If you cancel a purchase, Happy will deduct the points you earned from that purchase, which may result in a negative points balance in your account.
  • If you return purchased products and a coupon earned from the Happy Program was also used in the purchase of that product, this coupon will be returned to the client along with the points earned from that receipt.

8. Expiration of Points

Points are automatically added to your account through one of the ways the program offers, and they expire one (1) year after the date they are earned if they are not converted into a reward level within this period. For example, if you earn points on December 15, 2025, they will expire on December 15, 2026. The earliest points within the 1-year period will be used first during conversion to a reward level. You can check and monitor your points balance and available rewards, as well as additional benefits you have earned as a Happy member, at www.happy.al or by using the Mobile Application.

9. Cancellation and Changes to the Program

  • Happy reserves the right to change, suspend, or cancel the Program or parts of it at any time, notifying Users through the designated communication channels. The member will have no claims against the company if they have previously given consent to any changes in the terms.
  • Users may cancel their participation in the Program at any time by contacting customer service or through the Happy application.
  • In case of violation of the Terms, Happy may suspend access to the Program and cancel earned points without prior notice.
  • Happy has the right to unilaterally modify any of the terms of this agreement, including the method of calculating points and the amount of rewards. Any such modification will be communicated to program members by any appropriate means at the contact details they have provided in this application or by posting information on the website www.happy.al and/or the Application.
  • Without prior notice, Happy has the right to suspend your participation in the Happy Program if it unilaterally determines that the use of your Happy account is unauthorized, fraudulent, unfair, or illegal.
  • Happy may also, at its discretion, suspend, cancel, or merge Happy accounts that appear to be duplicates.
  • In case of suspension/closure of your participation in Happy, all points earned in your account will become invalid.

10. Responsibilities and Communication

Happy does not guarantee the indefinite continuation of the Program and is not responsible for the loss of points due to technical issues, errors, or abuse. The User is responsible for maintaining the security of their account and for any use made from it.

Happy may send communications for the purposes of the program or its partners, via email, SMS, or other electronic channels for notifications, offers, and changes to the Program.

Program members may request to stop receiving promotional communications at any time.

11. Additional Information

There are no participation or membership fees for the Happy Program. Points earned within Happy are promotional, have no monetary value, and cannot be exchanged for cash. Also, the use of Happy Coupons cannot be combined with other offers or discounts from partners, unless otherwise explicitly stated by Happy or its partners.

Happy also reserves the right to deactivate and consequently delete the personal data of a Happy account when the account has not been used for more than five (5) consecutive years. Lack of activity means that no points have been earned during this 5-year period. From that moment, the card cannot be active anymore and the client may reapply for a new card.

12. Protection of Personal Data

Happy shpk reserves the right to process personal data, after obtaining approval from Clients, in order to improve the management of its customers and promote products.

The company collects the following data directly from the member at the time of registration: First Name, Last Name, Gender, Address, City, Phone, Email, Date of Birth.

Only members aged 16 and above should be eligible to join the Program and its privileges. If any personal data is found to have been collected from a person under the age of 16 without verifiable parental consent, such data will be deleted as soon as possible.

The purposes for processing the member's data are as follows:

  • Earning and redeeming the points the member has collected.
  • Notifications via email, SMS, Viber, and/or phone calls regarding news, new products, and general offers.
  • Sending special personalized offers exclusively for the member as additional privileges for cardholders in accordance with their preferences.

The Privacy Policy for the Processing of Personal Data is an integral part of these Terms of Use and also regulates your participation in the Happy program. 13. Dispute Resolution

Any dispute arising from these Terms shall initially be attempted to be resolved through dialogue between the parties. If the dispute cannot be resolved in this manner, it will be handled in accordance with the applicable laws of the Republic of Albania and will be subject to the jurisdiction of the competent courts within the Albanian territory.

14. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions. These Terms constitute the entire agreement between the Happy Program and the User regarding the Loyalty Program.
